Algomim - Architectural Design Agent

1. Introduction

This End User License Agreement ("EULA") is a legal agreement between you ("User", "you", or "your") and Dijital Inovasyon ve Yapi Teknolojileri A.S. (trading as "Algomim", "we", "us", or "our") for the use of the Algomim software, including the web application, desktop plugins for Autodesk Revit, Autodesk AutoCAD, McNeel Rhinoceros, and GRAPHISOFT ArchiCAD, and all related components (collectively, the "Software").

BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.

2. Definitions

"Software" — the Algomim application software, including the web application, desktop plugins, installers, updates, patches, and all associated documentation.
"Plugin(s)" — the desktop software extensions for Autodesk Revit, Autodesk AutoCAD, McNeel Rhinoceros, and GRAPHISOFT ArchiCAD.
"Service" — the cloud-based Algomim AI assistant platform accessed through the Software.
"AI Output" — any text, code, scripts, images, or other content generated by the AI assistant through the Software.
"User Content" — any data, files, prompts, or content you provide to or through the Software.
"Subscription" — your selected service plan that determines access level and usage limits.

3. Grant of License

3.1 License Grant

Subject to your compliance with this EULA and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable, non-sublicensable license to:

Access and use the web application through a standard web browser
Install and use the desktop Plugins on devices you own or control
Use the Service in connection with the Software for your personal or internal business purposes

3.2 SaaS Access

The Software operates primarily as a Software-as-a-Service (SaaS). This EULA grants you the right to access the Service, not to own, possess, or receive a copy of the underlying software code.

3.3 License Scope

This license is:

Personal — limited to the individual or entity that created the account
Non-transferable — may not be assigned, sublicensed, or shared
Subscription-based — tied to the duration of your active Subscription
Revocable — subject to termination as set forth in this EULA

4. Usage Restrictions

You agree NOT to:

Reverse engineer, decompile, or disassemble the Software or any part thereof, except to the extent expressly permitted by applicable law
Copy, modify, or create derivative works of the Software
Distribute, sell, lease, rent, sublicense, or lend the Software to any third party
Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
Use the Software to develop a competing product or service
Extract, replicate, or attempt to reconstruct the AI models, weights, parameters, or training data accessible through the Software
Circumvent or disable any technological protection measures, usage limits, or license verification mechanisms
Use the Software in violation of any applicable law, regulation, or third-party rights
Use automated tools (bots, scrapers, crawlers) to interact with the Software beyond its intended interfaces
Share account credentials or allow multiple individuals to use a single account simultaneously (unless on an enterprise plan that expressly permits this)

5. Intellectual Property

5.1 Ownership

The Software, including all code, AI models, algorithms, user interfaces, designs, documentation, trademarks ("Algomim" name and logo), and trade secrets, is and remains the exclusive property of Dijital Inovasyon ve Yapi Teknolojileri A.S. and its licensors. This EULA does not convey any ownership rights.

5.2 User Content

You retain all rights in your User Content. You grant us a limited license to process your User Content solely for providing the Service.

5.3 AI Output

You own the AI Outputs generated through your use of the Software
We retain all rights to the underlying AI technology that produces such outputs
We make no representations regarding the uniqueness of AI Outputs — similar outputs may be generated for other users
AI Outputs may incorporate publicly available information

5.4 Open Source Components

The Software may include open source software components, each governed by its respective license. A list of open source components and their licenses is available upon request.

6. Plugin-Specific Terms

6.1 Desktop Plugin Installation

Desktop Plugins are installed on your local computer and connect to the cloud-based Service via outbound WebSocket connections. The Plugins do not operate as local servers.

6.2 Third-Party Software Requirements

The Plugins require valid licenses for supported versions of the respective host applications (Autodesk Revit, Autodesk AutoCAD, McNeel Rhinoceros, and GRAPHISOFT ArchiCAD). The list of currently supported versions is available in the product documentation and may be updated from time to time at Algomim's discretion.

We are not affiliated with Autodesk, McNeel, or GRAPHISOFT. These names are trademarks of their respective owners.

6.3 Script Execution

The Plugins enable execution of AI-generated scripts directly within your design application. AI-generated scripts are provided on an "AS IS" basis without warranties of accuracy, completeness, or fitness for any purpose. You acknowledge and accept that:

Scripts execute with the full permissions of the host application and may make irreversible changes to your project files
AI-generated scripts may create, modify, or delete elements in your project in ways that may not match your intent
You must review all AI-generated scripts before execution — you are solely responsible for understanding and validating the code
You must save your project and create backups before executing any AI-generated script
We are not liable for any unintended modifications, data loss, file corruption, or project damage caused by script execution
The Service supplements but does not replace professional engineering, architectural, or construction judgment — you are responsible for ensuring all AI-generated modifications comply with applicable codes, standards, and regulations
While undo functionality may be available in your host application, we do not guarantee that all script-executed modifications can be reversed

7. Updates and Modifications

7.1 Software Updates

We may release updates, patches, or new versions of the Software from time to time. Updates may be:

Automatic — installed without separate notice (for critical security patches)
Manual — requiring user action to install (for feature updates)

7.2 Service Changes

We reserve the right to modify, update, or discontinue features of the Service. For material changes affecting your Subscription, we will provide reasonable notice.

7.3 Continued Use

Continued use of the Software after updates constitutes acceptance of any modified terms.

8. Data and Privacy

Your use of the Software is subject to our Privacy Policy and KVKK Aydinlatma Metni, which describe how we collect, use, and protect your personal data.

Key data practices relevant to this EULA:

Chat messages and file contents are processed by third-party AI providers (see Privacy Policy for details)
We do not use your data to train AI models
Plugin connection data (project name, file path) is transmitted to our servers for service delivery

9. Disclaimers and Warranties

9.1 "AS IS" Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

WARRANTIES OF MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY OR RELIABILITY OF AI OUTPUTS
UNINTERRUPTED OR ERROR-FREE OPERATION

9.2 AI Output Disclaimer

WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR SUITABILITY OF AI OUTPUTS FOR ANY PURPOSE. AI OUTPUTS:

ARE NOT CERTIFIED PROFESSIONAL ENGINEERING OR ARCHITECTURAL ADVICE
MAY CONTAIN ERRORS, INACCURACIES, OR HALLUCINATED INFORMATION
MUST BE INDEPENDENTLY VERIFIED AND VALIDATED BY QUALIFIED PROFESSIONALS
SHOULD NOT BE USED AS THE SOLE BASIS FOR DESIGN, ENGINEERING, OR CONSTRUCTION DECISIONS

9.3 Third-Party Disclaimer

WE ARE NOT RESPONSIBLE FOR THE AVAILABILITY, ACCURACY, OR FUNCTIONALITY OF THIRD-PARTY SOFTWARE (REVIT, AUTOCAD, RHINO, ARCHICAD) OR THIRD-PARTY AI PROVIDERS.

9.4 Consumer Rights Preservation

Nothing in this EULA limits any mandatory warranty rights you may have under the consumer protection laws of your jurisdiction (including Turkish Law No. 6502).

10. Limitation of Liability

10.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING BUT NOT LIMITED TO APPLICABLE CONSUMER PROTECTION LEGISLATION, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS EULA OR THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS (USD $100), WHICHEVER IS GREATER. THIS LIMITATION DOES NOT APPLY TO LIABILITY ARISING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

10.2 Exclusion of Damages

WE SHALL NOT BE LIABLE FOR:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
LOSS OF DATA, PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
DAMAGE TO PROJECT FILES OR DESIGN DATA FROM AI-GENERATED SCRIPTS
COSTS OF SUBSTITUTE SERVICES
DAMAGES ARISING FROM YOUR RELIANCE ON AI OUTPUTS

10.3 Essential Purpose

THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE).

11. Indemnification

You agree to indemnify, defend, and hold harmless Algomim and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

Your use of the Software in violation of this EULA
Your reliance on AI Outputs in professional projects
Your User Content infringing third-party rights
Your violation of applicable laws or regulations

12. Term and Termination

12.1 Term

This EULA is effective from the date you first install, access, or use the Software and continues until terminated.

12.2 Termination by You

You may terminate this EULA at any time by:

Canceling your Subscription
Uninstalling the Plugins
Deleting your account
Ceasing all use of the Software

12.3 Termination by Us

We may terminate this EULA:

With 30 days' notice for any reason
Immediately if you breach any material term of this EULA

12.4 Effect of Termination

Upon termination:

All licenses granted under this EULA immediately cease
You must uninstall all copies of the Plugins
You may request export of your data within 30 days
Any accrued but unpaid fees remain due and payable
Sections 2 (Definitions), 5 (IP), 6.3 (Script Execution), 9 (Disclaimers), 10 (Liability), 11 (Indemnification), 13 (Governing Law), and any other provisions that by their nature are intended to survive termination, shall survive

13. Governing Law

13.1 Applicable Law

This EULA is governed by the laws of the Republic of Turkey.

13.2 Jurisdiction

Turkish consumers: disputes are subject to the jurisdiction of Tuketici Hakem Heyeti and Tuketici Mahkemesi in accordance with Law No. 6502.
Other users: disputes shall be submitted to the competent courts in Ankara, Turkey.

14. General Provisions

14.1 Entire Agreement

This EULA, together with the Terms of Use, Privacy Policy, and KVKK Aydinlatma Metni, constitutes the entire agreement regarding the Software.

14.2 Severability

If any provision is found unenforceable, the remaining provisions continue in full force.

14.3 Waiver

Failure to enforce any provision does not constitute a waiver.

14.4 Assignment

You may not assign this EULA. We may assign it in connection with a merger, acquisition, or sale of assets.

14.5 Export Compliance

You agree to comply with all applicable export and import laws and regulations.
