1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Dijital Inovasyon ve Yapi Teknolojileri A.S. (trading as "Algomim", "we", "us", or "our") governing your access to and use of the Algomim platform, including the web application at algomim.com, desktop plugins for Autodesk Revit, Autodesk AutoCAD, McNeel Rhinoceros, and GRAPHISOFT ArchiCAD, and all related services (collectively, the "Service").

By creating an account, installing a plugin, or otherwise accessing the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Definitions

  • "Service" — the Algomim AI-powered assistant platform, including the web application, desktop plugins, API, and all related features and functionalities.
  • "AI Assistant" — the artificial intelligence chatbot integrated into the Service that processes user prompts and generates responses, scripts, and design suggestions.
  • "Plugins" — the desktop software extensions for Autodesk Revit, Autodesk AutoCAD, McNeel Rhinoceros, and GRAPHISOFT ArchiCAD that connect to the Service.
  • "User Content" — any data, files, messages, prompts, project files, or other content you upload, submit, or transmit through the Service.
  • "AI Output" — any text, code, scripts, images, or other content generated by the AI Assistant in response to your inputs.
  • "Compute Units (CU)" — the unit of measurement used to track and bill for Service usage.
  • "Subscription Plan" — the tier of service you have selected, which determines your monthly CU allowance and available features.

3. Service Description

Algomim is an AI-powered assistant designed for architecture, engineering, and construction (AEC) professionals. The Service provides:

  • AI Chat Interface — a conversational interface where users can interact with AI models to get assistance with design tasks, code generation, and project queries.
  • Script Execution — AI-generated scripts that can be executed within supported design applications (Revit, AutoCAD, Rhino, ArchiCAD) through the desktop plugins.
  • File Analysis — the ability to upload and analyze project documents, images, and drawings.
  • Knowledge Base — document processing and retrieval-augmented generation (RAG) for project-specific context.
  • Image Generation — AI-powered image creation for design visualization.
  • Multi-Plugin Support — simultaneous connection to multiple design applications.

4. Account Registration and Security

4.1 Account Creation

To use the Service, you must create an account by providing a valid email address and completing the email verification process. You may also sign in using a Google account.

4.2 Account Responsibilities

You are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately at info@algomim.com of any unauthorized use of your account

4.3 Account Restrictions

  • You must be at least 16 years old to create an account
  • Each individual may maintain only one account
  • Accounts are non-transferable
  • We reserve the right to refuse registration or suspend accounts that violate these Terms

4.4 Anonymous Access

Limited anonymous access may be available without account creation, subject to restricted usage limits. Anonymous usage data may be retained as described in our Privacy Policy.

5. Subscription Plans and Billing

5.1 Plans

The Service offers multiple subscription tiers:

  • Free Plan — limited monthly Compute Units at no cost
  • Paid Plans — various tiers with increased CU allowances, billed monthly

Current plan details and pricing are available at the Plans page within the Service.

5.2 Compute Units (CU)

  • Service usage is measured in Compute Units
  • Different operations consume different amounts of CU based on the AI model used and the type of operation (chat, image generation, etc.)
  • CU allowances reset monthly on the 1st of each month (UTC)
  • Unused CU do not roll over to the next billing period

5.3 Payment Terms

  • Paid subscriptions are billed in advance on a monthly recurring basis
  • Payment is processed through our payment partner, Polar
  • All prices are displayed inclusive of applicable taxes
  • You authorize recurring charges to your selected payment method

5.4 Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period at the then-current price unless you cancel before the next billing date.

Auto-Renewal Terms:

  • Recurring charges: Your selected payment method will be charged the then-current subscription fee at the start of each billing period (monthly)
  • Cancellation: You may cancel auto-renewal at any time through your account settings (Settings > Plans) or by contacting info@algomim.com. Cancellation takes effect at the end of the current billing period — you retain access until then
  • Confirmation: You will receive a confirmation when your subscription is created or renewed
  • No mid-term changes: Price changes apply only from the next billing period, never mid-subscription

5.5 Price Changes

We may adjust subscription prices with at least 30 days' prior notice. Price changes take effect at the start of your next billing period. If you do not agree with a price change, you may cancel your subscription before the new price takes effect.

5.6 Refunds

Subscription fees are generally non-refundable. For exceptions, please refer to the applicable consumer protection laws in your jurisdiction and our Mesafeli Satis Sozlesmesi (for Turkish users).

6. Acceptable Use Policy

6.1 Permitted Use

You may use the Service for lawful purposes related to architecture, engineering, construction, and design activities, in compliance with these Terms.

6.2 Prohibited Use

You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose
  • Attempt to reverse engineer, decompile, disassemble, or extract the source code of the Service or its AI models
  • Attempt to extract, replicate, or reconstruct the weights, parameters, or training data of AI models used by the Service
  • Use automated tools (bots, scrapers) to access the Service beyond its intended interface
  • Circumvent, disable, or interfere with usage limits, rate limits, or security features
  • Share your account credentials with third parties or allow unauthorized access
  • Upload malicious code, viruses, or content that could harm the Service or other users
  • Use the Service to develop a competing product or service
  • Misrepresent AI-generated outputs as certified professional engineering, architectural, or construction advice
  • Submit content that infringes third-party intellectual property rights
  • Use the Service to generate content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Resell, sublicense, or commercially redistribute AI Outputs without proper attribution and validation

6.3 Fair Use

We reserve the right to impose or modify usage limits to ensure fair access for all users. Excessive usage that degrades service quality for other users may result in temporary throttling or account review.

7. AI Service Terms

7.1 Nature of AI Outputs

AI Outputs are assistive tools, not professional advice. The AI Assistant generates responses based on patterns in training data and your inputs. AI Outputs:

  • May contain errors, inaccuracies, or incomplete information
  • Do not constitute professional engineering, architectural, or construction advice
  • Are not guaranteed to comply with building codes, standards, or regulations
  • Should not be relied upon as the sole basis for professional decisions

7.2 Your Responsibility

You are solely responsible for:

  • Reviewing, validating, and testing all AI-generated scripts and code before execution in any design application
  • Ensuring AI Outputs meet applicable professional standards and regulations
  • Any consequences of executing AI-generated scripts in your design environment
  • Any design decisions made based on AI suggestions

7.3 Script Execution Risk

Scripts generated by the AI Assistant are executed directly in your design environment (Revit, AutoCAD, Rhino, ArchiCAD). AI-generated scripts are provided on an "AS IS" basis. You acknowledge that:

  • AI-generated scripts may create, modify, or delete elements in your project and such changes may be irreversible
  • Errors in AI-generated scripts may cause data loss, file corruption, or unintended modifications
  • You must save your project and create backups before executing any AI-generated script
  • You must review all AI-generated scripts before execution — you are solely responsible for understanding and validating the code
  • Algomim is not liable for any damage to project files, data loss, or design errors resulting from AI-generated scripts
  • The Service supplements but does not replace professional engineering, architectural, or construction judgment

7.4 AI Model Providers

The Service uses third-party AI model providers (including OpenAI and others) to process your requests. Your use of the Service is also subject to those providers' terms and policies.

7.5 No Training on Your Data

We do not use your User Content or AI interaction data to train, fine-tune, or improve AI models.

8. Intellectual Property

8.1 Our Intellectual Property

Algomim and its licensors retain all rights, title, and interest in and to the Service, including all software, plugins, AI integrations, algorithms, user interfaces, documentation, trademarks, and trade secrets. Nothing in these Terms transfers any ownership rights to you.

8.2 Your Content

You retain all ownership rights in your User Content (project files, uploaded documents, prompts, etc.). By using the Service, you grant us a limited, non-exclusive, worldwide license to process your User Content solely for the purpose of providing and improving the Service.

8.3 AI Output Ownership

You own the AI Outputs generated through the Service using your inputs, subject to the following:

  • You may use AI Outputs for any lawful purpose, including commercial use
  • Algomim retains all rights to the underlying AI models, algorithms, and technology
  • Identical or similar outputs may be generated for other users who provide similar inputs
  • AI Outputs may incorporate publicly available information not owned by either party

8.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, royalty-free, perpetual, irrevocable license to use such feedback for any purpose, including product improvement, without compensation or attribution.

8.5 Third-Party Software

The Service integrates with third-party software (Autodesk Revit, Autodesk AutoCAD, McNeel Rhinoceros, GRAPHISOFT ArchiCAD). These products are owned by their respective companies. You must hold valid licenses for any third-party software you use in connection with the Service.

10. Service Availability

10.1 No Uptime Guarantee

The Service is provided on an "as available" basis. We do not guarantee uninterrupted, error-free, or continuous access to the Service. We may experience downtime due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Unscheduled technical issues
  • Third-party service disruptions (AI providers, cloud infrastructure)
  • Force majeure events

10.2 Service Modifications

We reserve the right to modify, update, or discontinue any feature of the Service at any time. For material changes that affect your subscription, we will provide reasonable advance notice.

10.3 Third-Party Dependencies

The Service relies on third-party AI model providers and cloud infrastructure. Changes in these providers' services, pricing, or availability may affect the Service.

11. Disclaimers

11.1 "AS IS" Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

11.2 AI Disclaimer

WE DO NOT WARRANT THAT:

  • AI OUTPUTS WILL BE ACCURATE, COMPLETE, RELIABLE, OR ERROR-FREE
  • AI OUTPUTS WILL MEET PROFESSIONAL ENGINEERING, ARCHITECTURAL, OR CONSTRUCTION STANDARDS
  • AI-GENERATED SCRIPTS WILL EXECUTE WITHOUT ERRORS OR UNINTENDED EFFECTS
  • THE SERVICE WILL BE SUITABLE FOR ANY PARTICULAR PROFESSIONAL PURPOSE

11.3 No Professional Advice

THE SERVICE DOES NOT PROVIDE PROFESSIONAL ENGINEERING, ARCHITECTURAL, OR CONSTRUCTION ADVICE. AI OUTPUTS ARE ASSISTIVE TOOLS THAT REQUIRE PROFESSIONAL REVIEW AND VALIDATION.

12. Limitation of Liability

12.1 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING BUT NOT LIMITED TO APPLICABLE CONSUMER PROTECTION LEGISLATION, ALGOMIM'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO ALGOMIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS (USD $100), WHICHEVER IS GREATER. THIS LIMITATION DOES NOT APPLY TO LIABILITY ARISING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

12.2 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALGOMIM SHALL NOT BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
  • DAMAGE TO PROJECT FILES OR DESIGN DATA RESULTING FROM AI-GENERATED SCRIPTS
  • COSTS OF PROCUREMENT OF SUBSTITUTE SERVICES
  • DAMAGES ARISING FROM RELIANCE ON AI OUTPUTS

12.3 Consumer Rights

Nothing in this section limits any rights you may have under mandatory consumer protection laws that cannot be waived or limited by contract.

13. Indemnification

You agree to indemnify, defend, and hold harmless Algomim, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service or AI Outputs
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any claim that your User Content infringes intellectual property rights
  • Use of AI-generated scripts or outputs in professional projects without adequate validation

14. Termination

14.1 Termination by You

You may cancel your subscription and/or delete your account at any time through the Service settings. Upon cancellation:

  • Paid subscriptions continue until the end of the current billing period
  • After the billing period ends, your account reverts to the Free Plan
  • You may request deletion of your account and associated data

14.2 Termination by Us

We may suspend or terminate your access to the Service:

  • With 30 days' notice — for any reason (we will provide a pro-rated refund for unused prepaid fees)
  • Immediately — if you materially breach these Terms, engage in prohibited use, or if required by law

14.3 Effect of Termination

Upon termination:

  • Your right to access the Service ceases immediately
  • You have 30 days from termination to request export of your data
  • After the 30-day export period, your data will be deleted in accordance with our Privacy Policy
  • Any accrued but unpaid fees remain due and payable
  • Sections 2 (Definitions), 7 (AI Service Terms), 8 (Intellectual Property), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 15 (Governing Law), and any other provisions that by their nature are intended to survive termination, shall survive

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the Republic of Turkey.

15.2 Dispute Resolution for Turkish Consumers

For disputes arising under Turkish consumer protection law (Law No. 6502):

  • Disputes below the annually determined threshold amount shall be resolved by the Tuketici Hakem Heyeti (Consumer Arbitration Board) in the consumer's province of residence or the province where the transaction occurred.
  • Disputes above the threshold amount shall be resolved by the Tuketici Mahkemesi (Consumer Court) in the consumer's province of residence or the province where the transaction occurred.

15.3 Dispute Resolution for Other Users

For non-Turkish users, disputes shall be resolved by the competent courts in Ankara, Turkey, unless mandatory laws in your jurisdiction require otherwise.

16. Modifications to These Terms

We may modify these Terms at any time. For material changes:

  • We will provide at least 30 days' notice via email or in-app notification
  • The updated Terms will be posted on our website with the new "Last Updated" date
  • Your continued use of the Service after the notice period constitutes acceptance

If you do not agree with the modified Terms, you must stop using the Service before they take effect. Unilateral modifications do not apply retroactively.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy, KVKK Aydinlatma Metni, EULA, and Mesafeli Satis Sozlesmesi (where applicable), constitute the entire agreement between you and Algomim regarding the Service.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

17.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

17.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

17.5 Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, terrorism, pandemics, government actions, internet outages, or third-party service failures.

17.6 Language

In the event of a conflict between translated versions of these Terms, the Turkish version shall prevail for Turkish users, and the English version shall prevail for all other users.
